Our governance structure
The State Hill Housing Corporation (SHHC) owns 422 State Street. SHHC is comprised of all of its shareholders. All shareholders hold and share full authority and full accountability for the building. Shareholders delegate the responsibility for regular decision-making about policies, issues regarding the corporation’s finances, overall maintenance of the building, and applications from prospective residents to a group of shareholders known as the Board of Directors. The election of board members occurs each year at the annual meeting of the Corporation; that is the annual meeting of all shareholders. Anyone who is a shareholder is eligible to serve and is encouraged to serve on the Board of Directors. The annual meeting takes place in May.
The Corporation hires a management company. Our management company is Habitat Management, and our managing agent is Albert Guglielmo. Among other duties, the management company hires and supervises all persons and companies in the proper maintenance and operation of the building. The managing agent is authorized by the board and after consultation with an officer of the board to make emergency repairs, and any ordinary repairs involving expenditure of no more than $1000 without majority board approval.
FAQs
- Repairs: As shareholders we are responsible for maintaining the building and the general systems that lie within its walls: plumbing, electricity and heating. If there is evidence in your apartment that something is wrong with the building structure of any of these systems, report it immediately to the managing agent. The managing agent will schedule an assessment and any necessary repairs.
UPDATE: Please note that radiator care and repair is the responsibility of the shareholder. Shareholders are welcome to contact the managing agent for recommendation of a licensed and insured repair person but all associated costs are theirs.
- Remodeling: Shareholders wishing to make changes to his or her apartment that impact the structural elements of the building and/or the general systems (see above) must be reviewed and approved by the board of directors. All work must be performed by licensed and insured contractors. Always err on the side of caution in this matter for the safety of you, your neighbors and for your own legal protection. When in doubt, ask the Managing Agent.
UPDATE: An Alterations Agreement must be completed prior to board review.
- Refinancing: Unless you take on additional debt when you refinance your mortgage, the SHHC board does not have to review your application. All refinancings do require a recognition agreement signed by the President of the SHHC board. If you plan to refinance, please let the managing agent know as soon as possible so that the necessary approvals are in place for your closing.
- The noise thing: As you know the insulation in the walls and floors of our building is the very minimum required by code. Be mindful that the house rules for our building require that you cover at least 80% of your floor area with rugs or carpet. As a building we respect quiet hours of 11 p.m. through to 8 a.m.
The house rules certainly don’t require it, but taking your shoes off at the door is never a bad idea. Also it is useful for each of us to maintain communication with the persons who live above and adjacent so as to inquire about whether your habits of daily living—stereo volume, alarm settings, the hours you keep, etc.—are causing undue annoyance to your neighbors. Please work together to seek accommodations with each other wherever possible. Please be receptive to approaches from neighbors concerning noise levels and work to manage this situation in a neighborly way.
UPDATE: As with any building issues, the escalation process is as follows. Please try and work it out shareholder to shareholder first. If no resolution is struck, please approach any member of the board. If there is a still an issue requiring a solution, the entire board should be approached during a regularly scheduled board meeting.
- The temperature thing: Finding a comfortable temperature for everyone in the building is very difficult. The boiler is set slightly above the legal requirements set by the city. Billy in Apt 18 is our resident Boiler Monitor. Before you contact Billy, please go through the following checklist:
If you are too cold, please check the following:
- Are your air conditioners still in your window? Chances are a great deal of your heat is going out of the window and cold air is coming in around your air conditioner. Please remove your air conditioner(s) or weatherproof them.
- Are your windows fully shut and locked?
- Has your unit been remodeled to open up the space? You may need to consider some kind of seasonal curtain or door to help contain the heat
- Turn off your radiators, please do this all the way as otherwise the radiator may leak
- Only after you have turned off your radiators and given the temperature time to adjust and you are still too hot should you contact Billy
House Rules (short version)
In the spirit of cooperative living, here are some helpful guidelines extracted from the House Rules of the Corporation to aid in everyone getting along.-
Please properly recycle, compost, and dispose of all refuse (see recycling and composting guidelines below).

Please keep intruders out by making sure all outside doors are properly latched and/or locked.

Please keep to the quiet hours of 11 pm to 8 am. Please keep noise in the hallways to a minimum during these hours as well.

Please immediately clean up any mess if you drop or spill something in the halls, elevator or public areas (including the laundry room, roof deck, and storage room).

Please keep the following areas clear of belongings: halls, elevator, laundry room, fire escapes, stairs, outdoor public areas and sidewalk.

Please keep the faucets, drains, toilets, radiators, and other things in the apartment that are occupant responsibility in good repair. Promptly report any problems that are State Hill Housing Corp. responsibility to the Managing Agent.

Please ensure all construction, repair work, and moving be done only Monday through Friday between 9 am to 5 pm. Any work that may be disturbing to residents, such as water shut-offs, shall not be done before 10am. Please notify the building before work begins with no less than 24 hours advance notice and with as much notice as possible.

Please do not trespass on the roof where not covered by the Roof Deck except in emergencies. Walking on the roof invalidates the roof repair warranties and could result in increased capital expenses.

Please do not make any alterations or install any hazardous equipment (such as mammoth air conditioners) except as permitted under the House Rules, By-Laws or Proprietary Lease. When in doubt, check with the Managing Agent.

Please do not put any refuse on the sidewalk or anywhere else other than the appropriate receptacles in the yard outside the laundry room. The co-op could be fined by New York City and incur costs, such as attorney’s fees, in dealing with such fine.

Please do not attach an ID tag revealing name and address to your front door keys. If you lose them with ID attached, the locks will have to be changed and new keys distributed at your expense. Coded ID tags are permitted.

In light of recent fires and for everyone’s safety, all electric microbility devices or vehicles (e-bicycles, e-scooters, etc.) are strictly prohibited anywhere in the building without written approval from the Board.

Roof Deck Rules
QUIET
The deck is closed between the hours of 11 pm to 8 am.
AT ALL TIMES
- No loud music. Music levels must be kept low to respect the comfort of others.
- Furniture must be PICKED UP at all times when moving it. Be aware that even pushing your chair back from the table creates a loud noise for our neighbors on the top floor.
- Wheeled riding toys such as scooters, strollers, toy strollers, wagons, and bikes are not permitted on the roof deck.
SAFETY

No smoking.

No candles.
-
No building of fires.
-
No walking on non-deck portions of the roof. No one is permitted outside the boundaries of the finished roof deck.
- Do not leave the grill unattended when in use.
USAGE

A shareholder or leaseholder or adult relative of same must accompany any children under the age of 16.

Shareholders and leaseholders are responsible for their guests at all times.

Notice of plans to use the deck should be made for any group over four people planning to cook and/or eat on the roof deck. Notice should be shared with the building by email at least 24 hours in advance of the event.

No pets (except by prior board approval).
- Do not leave the umbrella open unattended.
CLEANING AND MAINTENANCE

Removal of garbage and all personal items is the sole responsibility of individual shareholders and their guests. Whatever you bring up, you must bring down.
- Shareholders and leaseholders must complete the following maintenance and cleaning routine EACH time after usage of the deck:
- Pick up all garbage and personal items and remove from deck.
- If food or drink has been consumed, use the hose that is located in the built-in bench to spray the entire deck. Return the hose when finished.
- Scrub deck with deck brush located at the top of the stairs if spraying does not remove all food and drink.
- Return furniture to its proper place and cover it securely each time.

If grill was used, make sure it is turned off. Remove all food/mess and clean by brushing down the burners and grids. Once the grill has cooled down, replace the cover.
NOTE: grease collects under the grill and the grease pan needs to be cleaned out periodically. Weber Grill guide︎︎︎ - If you are cleaning at night, return to the deck the following morning to make sure that no garbage or food has been missed in the dark.
Garbage, Recycling, and Compost

Garbage, recycling, and compost from the apartments shall be disposed of by carrying it directly from the apartment to the side alley located outside the laundry room and placing each type of material in the containers designated by the current New York Department of Sanitation (DSNY) regulations for the same. This also applies to empty laundry detergent containers and similar objects used in the laundry room.

All items subject to the DSNY recycling and composting regulations shall be prepared for recycling and composting in the manner prescribed by the regulations.

Bundled newspapers, collapsed and bundled large corrugated cardboard boxes, and other items too large for the containers shall be bundled as recycling regulations require and tucked in behind the green magazine/newspaper recycling containers.

Discarded furniture, appliances, and other bulky items are to be disposed of only in accordance with appropriate DSNY regulations at such times and in such manner as these regulations require and are not to be deposited in the aforesaid disposal area, on the street or sidewalk or elsewhere, except as expressly authorized in each case by the Managing Agent.

The current DSNY regulations and any future changes made therein are incorporated herein by reference, and are posted on the laundry room door and on top of the compost bin. The Managing Agent will endeavor to notify occupants of any changes, without liability, however, for inadvertent failure to do so. Any fines or financial penalties resulting from violation of such regulations shall be added to the maintenance charges of the Shareholder responsible for such violation.

Anything dropped or spilled anywhere on the premises shall be immediately picked up and properly disposed of by the person or persons responsible for such drop or spill.
Air Conditioner Policy
Based on guidelines from the NYC Dept. of Buildings:-
All AC units must be installed securely using interior metal angles, mounting rails, or brackets (see below). Note that different windows may require different types of mounting hardware.

Supporting brackets, interior angles, etc. must be structurally fastened to the building and must be strong enough for the size and weight of the AC unit. Units that meet the following criteria require a bracket rated for the weight of the unit:
— Protrudes more than 4” from the window sill
— Weighs more than 20 lbs
Check AC unit weight, window frame, and sill to select appropriate mounting type and install as directed. -
AC units should be slightly tilted to provide water drainage away from the building and not onto AC units below.

Loose objects such as wood blocking, bricks, telephone books, gypsum board or cans cannot be used to support the leveling of the AC unit.

Do not block fire escape windows or other exits with the AC unit.

Do not place anything (TV antennae, satellite dishes, plants, etc.) on top of the AC unit.

Periodically check on the position of the AC and the condition of the window frame to make sure that the AC remains supported and secure.
PLEASE NOTE: if you have any uncertainty regarding safety and need help with installation and/or removal, contact our Managing Agent. Any AC units deemed improperly secured by the Managemnt or the SHHC Board must be removed or secured properly following the above guidelines and process.
